Job description:

We have an exciting and challenging opportunity for an experienced Legal Counsel to join CFAO Holdings South Africa.

This is a locally based permanent contract in Johannesburg, South Africa.

This position will provide comprehensive legal support to the Head of Legal and general legal advice to Group subsidiaries, with a key focus on document and database management, assistance with legal audits, contract vetting and drafting, and general corporate governance support. 

 

Required profile :

Experiential and Educational Requirements:

  • LLB or Equivalent
  • Admitted Attorney
  • Minimum 2 years post articles experience
  • General corporate legal knowledge, including key legislation (Companies Act, POPIA, PAIA, etc.), contract vetting and drafting, insurance law, legal compliance, labour legislation
  • Proficiency in the full MS Office suite

Essential Duties and Responsibilities:

  • Contract Management: Perform day-to-day contract vetting for any Group entity or subsidiary; assist in drafting and expanding the legal database with standard agreements; review and update existing contracts and advise Group entities on recommended changes; and work with the Head of Legal to identify key legal risks and inform legal strategy
  • Legal Compliance: Assist with legal audits and risk assessments to establish compliance; identify risks and work with the Head of Legal to mitigate them; research relevant legal and compliance issues; and co-ordinate or provide necessary legal training, including developing training materials and loading modules onto the e-learning platform
  • Company Secretarial Support: Prepare, circulate and track documents and executions (including resignation and consent letters for new directors) and obtain signatures; co-ordinate necessary filings; accurately maintain statutory records (Register of Members, Register of Directors, etc.); prepare minutes and assist with drafting resolutions; assist with regulatory submissions and annual returns; and co-ordinate monthly company secretarial meetings and assist with the preparation and distribution of board packs.
  • Document & Database Management: File and upload original contracts and documents to the document management system (including lease agreements, property title deeds, OEM/dealership agreements, surety agreements, licences and permits); update the system with new information to ensure all records are current, accurate, complete and readily accessible; and ensure hard and soft copy files are properly maintained and diary task lists are monitored and cleared on a timely basis.
  • Ad Hoc Legal Support & Projects: Participate in shaping business activities and processes in line with emerging legal opportunities and risks, and participate in or lead relevant legal projects as required
